Barbershop quartet sues (in harmony) "Music Man" producers

While preparing to open the new production of The Music Man on Broadway, the producers were sued in New York state court over recasting four singers in the show. The plaintiffs, who are members of an award-winning barbershop quartet named “Category Four,” are claiming that the producers broke their employment agreements, and are seeking over half a million dollars in damages.

“It’s the music men vs. The Music Man,” commented their lawyer.

Something seems off on the timeline. Based on the limited language mentioned in the article - the producers almost certain had the ability to recast them if the production took a different turn or they did honestly feel they needed actors with other qualities. What doesn't make sense is them offering them something to walk away (understandable to just end it cleanly) but then sending over long term contracts. Why would they send them contracts if they decided they wanted to replace them?

I got the impression that if the producers did NOT send them contracts, then they would be breaking the terms of the deal memo. In that case, the quartet would be able to sue, and the producers would have no case. But by sending over contracts (albeit with different terms than what the quartet was expecting), the producers can argue that they have legally fulfilled their obligations, and the quartet's rejection of those contracts would indicate (in their eyes) that they are refusing the job offers and are therefore not entitled to any additional compensation.

The question for the courts, it seems, will be to decide whether the offered contracts were indeed very different from what was promised in the deal memo.

Yeah, the producers clearly thought they could pull a Harold Hill, but this barbershop quarter wasn’t falling for the charismatic con.

From the Forbes story about the short-term memorandum:

''Each actor would be paid $2,323 during each week of rehearsals & performances, as well as receive a media fee of $58.08 and a “1 Year Rider” of $80.''

I admit I don't know anything about media fees. How do they work? Are they standard in Broadway agreements? And why a ''1 Year Rider''? Thanks!

The Production contract provides that each actor shall receive a separate Media Fee equal to 2.5% of minimum salary, no matter what their contractual salary is. This allows producers to use any B Roll etc on various platforms.
